Changes to PayPal Legal Agreements

PayPal is changing some of its Legal Agreements with effect from the effective date listed below against each change (hereinafter referred to as “Effective Date” individually). We’ve created this policy update to help you understand the changes. By continuing to use the PayPal Services after the Effective Date, you are agreeing to the changes. If you do not agree to the changes, you must close your account or cease using the PayPal Services prior to the Effective Date.

• SOFORT is no longer available as an alternative payment method and is removed from the list of alternative payment method providers contained in Annex 1 of the PayPal Alternative Payment Methods Agreement.

Amendments to the PayPal User Agreement

Effective 1 July 2024, we are:

• Main Terms and Due Diligence

Making amendments to the Description of Main Terms and Due Diligence at the beginning of the PayPal User Agreement in accordance with the amendments to the Agreement described below.

• Section 2.6

Adding a clarification regarding additional rights you may be entitled to if an item or service is not delivered and in case of insolvency.

• Section 2.7

Clarifying to buyers that if a buyer authorizes a specific payment, it will not be considered as a charging authorization for the purpose of Chapter G of the Payment Services Law and the terms in this agreement that reference the said Chapter G.

• Section 2.8

• Changing the time buyer may stop a Preapproved Payment from “3 Business Days” to “1 Business Day” prior to the date the next payment is scheduled to be made by notifying PayPal.
• Clarifying to buyers that a Preapproved Payment may be canceled in accordance with the terms of Section 35 (Chapter G) of the Payment Services Law.
• Changing the phone number you may call to stop a Preapproved Payment.
• Clarifying to buyers that renewal of payments under the Preapproved Payments arrangement may be made by creating a new Preapproved Payments arrangement with the seller.
• Clarifying to buyers that if no payment has been made under a Preapproved Payments arrangement for 24 months, the arrangement will be canceled.
• Providing clarification to buyers on their eligibility for a refund for an unreasonable charge under a Preapproved Payments arrangement, as well as their agreement to comply with PayPal’s requests for information when they request a refund.

• Section 3.1

Clarifying to sellers that where they (instead of PayPal) offer the buyer at the point of sale a currency conversion of an amount they receive through PayPal, they will inform the buyer of the exchange rate and any charges that will be applied to the payment transaction, notwithstanding any disclosure obligations imposed on them under applicable law. PayPal has no liability to any buyer if the seller fails to inform the buyer of the exchange rate and charges. Sellers acknowledge that if they fail to disclose the exchange rate and charges to the buyer this may constitute a criminal offence by the seller.

• Section 3.3

Clarifying to sellers that their liability for invalidated payments also applies with respect to canceled or reversed Preapproved Payments and that this liability is subject to the Payment Services Law.

• Section 3.6

• Adding clarifications to sellers who receive Preapproved Payments and/or No Log-In Payments that they must:
  • Provide buyers the ability to stop a payment up to 1 Business Day before the date scheduled for payment.
  • Notify the buyer at least 10 days in advance of the amount and date of each preapproved payment if it will vary from the preauthorized amount or (at the buyer's option) any payment that is in an amount that falls outside of the pre-determined range.
• Adding clarifications to sellers who receive Preapproved Payments and/or No Log-In Payments that they must not:
  • Charge the buyer under the Preapproved Payment arrangement upon receiving a notice from the buyer or PayPal to cancel it.
  • Restart future Preapproved Payments without the buyer's written authorization, if a buyer has stopped or canceled a Preapproved Payment.
• Clarifying to sellers that a buyer may cancel a Preapproved Payment within 3 Business Days from the date of the payment.
• Clarifying to sellers that if a buyer authorizes a specific payment, it will not be considered as a charging authorization for the purpose of Chapter G of the Payment Services Law and the terms in this agreement that reference the said Chapter G.
• Clarifying to sellers that if no payment has been made under a Preapproved Payments arrangement for 24 months, the arrangement will be canceled.

• Section 6

“Closing Your Account”

• Clarifying that upon receiving a request to close an account, PayPal will close the account within 5 business days from the time the activities required to close the account have been completed.
• Clarifying the ability to terminate the agreement with PayPal regarding sending payments or receiving funds within 1 Business Day of notification.

“Suspension of certain services of your PayPal Account at your request”

• Clarifying users’ ability to request to suspend withdrawing funds and sending payments from their account for up to 14 days.
• Clarifying that PayPal will not charge the user’s account with payment instructions, including charges under Preapproved Payments, made during the suspension period.
• Clarifying that the user may need to recreate his Preapproved Payments at the end of the suspension period.

• Section 7

Clarifying to buyers that in addition to the protections under PayPal’s Buyer Protection Program, they may be entitled to further protections under certain Sections of the Payment Services Law.

• Section 8.1

Clarifying that the responsibility for unauthorized transactions that occur if giving another person access to a PayPal account may be subject to exemption under the Payment Services Law.

• Section 8.2.b

• Updating the notification time for Unauthorized Transactions from “60 Days” to “6 Months”.
• Changing the phone number to Call PayPal Customer Service to an Israeli number.
• Removing the reference to a timeframe with respect to notification of complaint or question in writing.

• Section 8.3

• Updating the timeframe for PayPal to complete the investigation of Unauthorized Transaction or Error, or, if the investigation is not completed, to receive provisional credit to 8 business days from the date PayPal received the notice.
• Clarifying that PayPal may recover the amounts incurred to PayPal for the Unauthorized Transaction in accordance with Section 24(c) of the Payment Services Law and subject to the amounts specified therein.

• Section 8.5

• Clarifying that PayPal shall not be liable for not executing a payment activity or for an error in the execution of a payment activity, if the failure or error is due to erroneous details the user provided PayPal (based on a typographical error, for example).
• Clarifying that if a user sends a payment to the wrong party, or sends a payment for the wrong amount, PayPal shall make reasonable efforts to return the funds to the user. If it is not possible to return the funds, PayPal will provide the user, at their request and subject to applicable laws, transaction information it holds that can assist with the return of the funds.
• Clarifying that if a user received funds that were sent to them in error, the user agrees to return them to the sender, and if they do not return the funds, they agree that PayPal will share their Personal Data with the sender as explained in our Privacy Statement.

• Section 11.3

Adding reference to the Payment Services Law, as applicable.

• Section 11.4

Adding reference to section 23 of the Payment Services Law, as applicable.

• Section 11.5

Adding reference to section 23 of the Payment Services Law, as applicable.

• Section 11.6

Adding reference to sections 6 and 23 of the Payment Services Law, as applicable.

• Section 13.1

Clarifying that This user agreement shall be effective until terminated by the user or PayPal subject to the terms of this user agreement, and to Section 6 of the Payment Services Law.

• Section 13.13

Clarifying our Taxes and Information Reporting terms.

• Section 13.21

Adding reference to Section 51 of the Payment Services Law, such that notwithstanding any reference in the User Agreement to the Payment Services Law, it is explicitly agreed that provisions pertaining to it, as well as any other protections in accordance with the Payment Services Law, shall not apply to a user which is a Business (in its meaning under Section 51 of the Payment Services Law), provided that contracting out of the relevant provisions/protections is permitted under Section 51. Notwithstanding the above, PayPal may decide, in its sole discretion, to afford all or some of the protections under the Payment Services Law to a Business.

• Exhibit A

Currency Conversion (under “Additional Fees”):

• Clarifying that Holds or limitations may delay currency conversion of amounts until such holds or limitations are released. This may result in the application of an exchange rate that is different from the transaction exchange rate that would have been applied had no account hold(s) or limitation(s) been in place. Currency conversions in these cases may be more favorable or less favorable to users.

Amendments to the PayPal Buyer Protection Program

Effective 1 July 2024:

• We are revising PayPal’s Buyer Protection Program to exclude Non-Fungible Tokens (NFTs) from eligibility.
• In addition to meeting all other eligibility requirements for PayPal’s Buyer Protection Program, disputes asserting Significantly Not as Described claims must be opened by the buyer in the Resolution Center within 30 days of the delivery or fulfilment of an order or within 180 days of the date a payment was sent by the buyer to the seller, whichever is sooner. The timeframes for opening other disputes asserting other claim types (including Item Not Received, Unauthorized Transactions, or other errors) are not changing at this time.

Amendments to the Seller Protection Program

Effective 1 July 2024:

We are revising PayPal’s Seller Protection Program to exclude from eligibility Non-Fungible Tokens (NFTs) with a transaction amount of:

• $10,000.01 USD or above (or equivalent value in local currency as calculated at the time of the transaction); 
• $10,000.00 USD or below (or equivalent value in local currency as calculated at the time of the transaction), unless the buyer claims it was an Unauthorized Transaction and the transaction meets all other eligibility requirements.

Amendments to the PayPal User Agreement
Effective 20 February 2024:

• We are revising the User Agreement to indicate the payment a seller receives from a buyer may be invalidated and reversed if the seller fails to respond or provide accurate and complete information to PayPal related to the buyer’s claims or chargebacks for such transaction within the timeframe communicated to the seller by PayPal or, if the seller does not fulfill the transaction as promised or cannot provide proof of shipment or proof of delivery when required.

Amendments to PayPal’s Seller Protection Program
Effective 20 February 2024:

• We are revising PayPal’s Seller Protection Program to exclude from eligibility Item Not Received claims filed by buyers as chargeback claims with their card issuers for card-funded transactions.

Amendments to the PayPal Payouts Terms and Conditions
Effective 20 February 2024 :

• The PayPal Payouts Terms and Conditions are being updated to clarify existing product functionality, including:
  • Eligibility requirements for recipients of payouts to successfully receive payouts
  • Clarifying the respective responsibility of PayPal and senders with regard to payouts made using the PayPal Payouts product
• In addition, the updates provide that:
  • PayPal may require evidence of express recipient consent to receive communications in connection with payouts
  • Customers must confirm that provision of information to PayPal does not constitute a sale of data to PayPal under applicable law
  • Customers may not imply PayPal sponsorship or endorsement without prior permission; nor may customers seek to obtain PayPal user credentials

• Due to Croatia’s currency changing from the Croatian Kuna (HRK) to the euro (EUR) from 1 January 2023 by operation of law, references to HRK in all our terms and conditions will be deemed removed and replaced by EUR from this date.

Effective September 19, 2022, we are:

• clarifying that, if you integrate or reference PayPal services on your website, PayPal may use automated technologies (e.g., website crawling) to assess your website to ensure compliance with the user agreement and to combat fraud.
• expanding the withdrawal currencies to card to include additional currencies and their applicable fees.

Amendments to the PayPal User Agreement

Effective December 10, 2021, we are:

• Relocating PayPal’s Buyer Protection program and Seller Protection program terms to separate web pages. These program terms are accepted at the time you agree to the User Agreement and remain part of the User Agreement. The relocation is intended to make the terms easier to locate and navigate.
• Clarifying that abuse of our online dispute resolution process, PayPal's Buyer's Protection program, and/or PayPal’s Seller Protection program are restricted activities as defined under the user agreement.
• Updating Exhibit A. – Additional Fees, by including other currencies and the applicable fees for their withdrawals to your card.

Amendments to the PayPal User Agreement

Effective: March 11, 2021

• We are revising the listed exclusions to PayPal’s Buyer Protection and Seller Protection to be more globally consistent and to clarify which transactions are eligible for protection (Sections 7.3 and 9)
• We are revising PayPal’s Seller Protection so it does not apply where a merchant ships a physical item or fulfills a purchase order more than two days after being notified by PayPal that the transaction is being disputed, reversed, or is otherwise unauthorized. (Section 9)
• We are clarifying our PayPal Payouts and Mass Pay services terms, including that they may only be used to make multiple or bulk payments, not individual or other ineligible payments, and that merchants are responsible for obtaining the applicable consents from their payout recipients. (Section 2.10)
• We are clarifying the terms that govern communications between you and PayPal. (section 13.9)
• We are clarifying PayPal’s data protection roles and responsibilities in connection with the processing of personal data using the PayPal services. (Sections 11.8, 11.9, 13.10)
• We are adding terms relating to applying a currency to your card (Sections 5.1 and Exhibit A, Additional Fees)
• We are updating the terms relating to withdrawal to a card (Section 5.1)
• We are updating the buyer protection policy to state that PayPal may ask you to wait at least 7 days from the dispute filing date before you will be allowed to escalate the dispute. (Section 7.5)
• We are updating the dispute fee terms in relation to the timing of charging the fee. When applicable, the dispute fee will be deducted from your PayPal account after the claim is decided. (section 11.1 e)

Updates to the User Agreement for PayPal Services
Effective Date: October 14, 2020

We’re making changes to our terms, including the following:

• We are updating the policies which you agree to comply with when you open and use a PayPal account.
• We are adding a short description of the main terms of the user agreement and due diligence disclosures.
• Section 1.6
  We are clarifying that if you use your PayPal account to receive payments for the sale of goods or services, fees will be deducted from payments you receive.
• Section 2.9
  we are clarifying the manner and timing for cancelling a payment made to a seller that does not have PayPal account.
• Section 3.4
  We are clarifying that a merchant may provide a discount to the buyer for using other payment methods.
• Section 5.1
  We are updating section 5 on withdrawing funds from your account as it relates to withdrawals made to a card.
• Section 6.
  We are updating the section relating to closing your account.
• Section 7.5
  We are updating the dispute process, so that buyers must now wait at least 7 Days from the date of payment to escalate a Dispute to a Claim for significantly not as described claims as well.
• Section 11 and Exhibit A (Additional Fees – Dispute Fees)
  We are establishing a dispute fee and have added the terms and conditions that apply to sellers.
• Definition section
  • We are clarifying the definition of a Business Day
  • We are adding a definition of Essential Component, in relation to Unauthorized Transactions.
• Exhibit A – (Additional Fees – Withdrawing your balance - Withdrawals you make to your U.S. bank account).
  We are establishing a fee for withdrawals you make to your U.S. bank account.
• Exhibit A. (Additional Fees – Withdrawing your balance – Withdrawals you make to your card.)
  We are updating the table of fees for withdrawals you make to your card to include additional currencies.

Updates to the User Agreement for Israel

Effective: July 31, 2020

We’re making the following changes to our terms:

• We’ve added the following to the list of items that will be ineligible for reimbursement under PayPal’s Buyer Protection:
  • Items intended for resale, including single item transactions or transactions that include multiple items.
  • Significantly Not As Described Claims for items picked up in person.

• The section on eligibility for PayPal’s Buyer Protection program has also been amended to state the following:
  • if you are a buyer, you must now also attempt to contact the seller to resolve your issue directly before filing a claim through the Resolution Center.
  • If you are a buyer and have received a recovery or agreed to an alternative resolution related to the purchase from another source, you are not eligible for PayPal’s Buyer Protection.
    
• If you are a seller and you lose a claim under PayPal’s Buyer Protection program and the buyer’s claim was that the item received was Significantly Not as Described, you may not receive the item back, or you may be required to accept the item back and pay for the return shipping costs.
• We have added terms to the section on PayPal’s Seller Protection program. These include:
  • We have expanded the intangible items that may be eligible for PayPal’s Seller Protection, subject to meeting certain Intangible Goods Additional Requirements;
  • We have clarified what is required as proof of shipment or delivery for both physical and intangible goods
  • We have added the following eligibility requirements for intangible items:

For the sale of intangible goods and services to be eligible for Seller Protection, the sale must meet the basic requirements and the following additional requirements:

• Integration requirements:
  • Where you have integrated a PayPal checkout product, you must be using the current version of that product if you are accepting payments directly via a website or mobile optimized website; or
  • Ensure you are passing session information to PayPal at checkout if you are integrated with PayPal via a third-party or if you have a native app integration.
  • Other integration requirements may apply depending on your business model. We will let you know those requirements ahead of time, if needed.
• You have delivered the item and provided Proof of delivery for Intangible Goods.
• For the sale of digital goods or licenses for digital content to be eligible for Seller Protection –
  • you have paid standard transaction fees on the sale.
• The section on eligibility for seller protection has been amended to state that for coverage for a Chargeback or Reversal that was issued against you for the reason of an “Unauthorized Transaction”, the Unauthorized Transaction must have occurred in an environment hosted by PayPal
• We’ve clarified that payments made in respect of gold (whether in physical form or in exchange-traded form) are ineligible for reimbursement under PayPal’s Seller Protection.
