In-Person Payment Services

1. In-Person Payment Services

  1. Scope. The In-Person Payment Services (the “In-Person Payment Services”) mean the payment processing services offered by PayPal that provide Merchant with the ability to accept credit cards, debit cards, and other payment methods via a PayPal-compatible third-party card reader device (the “Device”) and corresponding software at Merchant’s physical locations, and to process Reversals such as voids, Refunds, or Chargebacks. The In-Person Payment Services shall be deemed part of (and included in the definition of) the “PayPal Products and Services ” under the Braintree Payment Services Agreement. In connection with the In-Person Payment Services, Merchant shall contract separately with a Device manufacturer, gateway provider, or third-party payment processor, as applicable (each, “Merchant Processing Partners”) for Devices and certain additional services. Capitalized terms used herein and not defined herein shall have the meanings set forth in the Braintree Payment Services Agreement.
  2. Exclusions. PayPal shall have no responsibility for: (i) Devices or services provided by Merchant Processing Partners, including integration, maintenance, performance, or service disruptions in respect of such Devices or services; (ii) Transactions processed by Merchant Processing Partners (such transactions, “Third-Party Transactions”), and all matters related to such Third-Party Transactions including settlement of funds, processing of reversals such as voids, refunds, Chargebacks, reconciliation, or reporting for Third-Party Transactions; or (iii) any use by the Merchant of the Devices, including any content entered or materials uploaded to the Devices by Merchant. For the avoidance of doubt, Merchant acknowledges and agrees that funds in respect of Third-Party Transactions will be owed and paid directly to Merchant by the applicable Merchant Processing Partner, and PayPal shall have no obligation to pay any such amounts to Merchant in the event of a failure by the Merchant Processing Partner to do so. PayPal is responsible only for the In-Person Payment Services to the extent such services are in its sole control.
  3. Integration. Merchant shall implement the In-Person Payment Services in accordance with this agreement and the timelines, integration guidelines, and instructions provided to Merchant by PayPal, as such may be updated from time to time. In connection with such implementation, Merchant shall ensure proper integration and use of all Devices in accordance with applicable law, Network Rules (including Network PCI DSS Requirements and PCI-validated Point-to-Point Encryption standards to the extent applicable), technical documentation, guidelines, usage manuals, and any applicable agreements or licenses entered into between Merchant and the Merchant Processing Partners.
  4. Agreements with Merchant Processing Partners. Merchant agrees that it is solely responsible for entering into any agreements as may be required between Merchant and any Merchant Processing Partner. Under no circumstances shall PayPal be responsible for any obligations set forth under any such agreements with third parties or any violation or breach of the terms that Merchant has agreed under its agreement(s) with the Merchant Processing Partner.

2. Fees

  1. The fees for the In-Person Payment Services between PayPal and the Merchant shall be as set forth under the heading “Commercial Transaction Rates” on the landing page (PayPal Braintree Fees & Pricing | PayPal US). Merchant agrees that any fees or other amounts owed between Merchant and any Merchant Processing Partner will be settled directly with such Merchant Processing Partner.

3. Use of Services; Processing In-Person Transactions

  1. Processing Transactions. Merchant shall comply with all applicable law, Network Rules, and any instructions provided by PayPal regarding the acceptance and authorization of in-person Transactions, including card-present transactions and contactless transactions. An authorized payment Transaction may not be withdrawn by Merchant or Customer after the end of the day on which the Customer authorized the Transaction. Merchant shall submit Transactions for processing through the Braintree Payment Services only in its own name and on behalf of the business for which it is registered with PayPal. PayPal will not be responsible for disruptions to the In-Person Payment Services resulting from misuse or failure to follow applicable guidelines.
  2. Accepted Cards. Merchant agrees to display signage for accepted Networks at each physical location where payments are accepted through the In-Person Services.
  3. Restrictions and limitations. Without limiting the restrictions set forth in this agreement, Merchant agrees that it will not: (a) apply a price threshold for accepting a Card, (b) apply a surcharge or additional fee(s) for the use of a Card in connection with a Transaction, (c) require any Payor to disclose their PIN at any time during a Card Transaction, (d) print data referencing any Customer's PIN or PAN on any receipt, or (e) unless otherwise approved in writing by PayPal, process one purchase of goods and/or services as several Transactions.
  4. Offline Transactions. If Merchant chooses to and is approved to allow payments to be accepted when Merchant’s internet connection is temporarily unavailable, Merchant acknowledges that such Transactions are higher risk and cannot be processed until Merchant’s internet connection is restored and a request to process the pending offline Transactions is made to, and received by, PayPal. Merchant further acknowledges that such Transactions may fail to be captured, approved or settled, and accepts full liability for errors, processing failures, or Chargebacks in connection with any such Transactions. PayPal will have no liability for any losses, damages, or other costs related to Merchant’s use of Devices in offline mode.
  5. Manual Keyed Entry; Mail Order/Telephone Order Transactions. If Merchant chooses to and is approved to allow Manual Keyed Entry or Mail Order/Telephone Order Transactions, Merchant accepts full liability for errors, processing failures, or Chargebacks in connection with any such Transactions. PayPal will have no liability for any losses, damages, or other costs related to Merchant’s use of Manual Keyed Entry and Mail Order/Telephone Order Transactions. Merchant’s use of Manual Keyed Entry or Mail Order/Telephone Order Transactions may be subject to additional requirements set forth by PayPal, Merchant Processing Partners, or Networks.

4. Additional Obligations

  1. Provision of Information. Merchant agrees to provide PayPal with evidence of any agreements, information, or other documentation as reasonably requested in connection with PayPal’s provision of the In-Person Payment Services (including information related to Merchant Processing Partners, to the extent applicable) or as otherwise required by PayPal policy or to support PayPal’s compliance with applicable law, Network Rules, and security standards.
  2. Device Security. Merchant is responsible for maintaining adequate security and control of the Devices, which may include, but is not limited to, maintaining Device software or firmware up to date, including downloading and installing any mandatory updates or security patches required to address potential security or compliance concerns or Network Rules. PayPal reserves the right to suspend or terminate the In-Person Payment Services or to cease processing Transactions for any Device in connection with suspected security issues, malicious activity, or failure to comply with Network Rules or applicable law.
  3. Consent to Contact. If Merchant sends receipts via email or text message, Merchant is solely responsible for ensuring that each Customer has agreed to be contacted by email or text message, as applicable. By using the In-Person Payment Services, Merchant represents that the information, including, but not limited to, emails or phone numbers, used to contact Customer is provided to Merchant by each Customer, and that Merchant’s use of the In-Person Payment Services and the associated retention of Customer information comply with all applicable laws and regulations. Merchant shall not use the In-Person Payment Services to send marketing messages unless Merchant has obtained prior authorization from the Customer for such messages.

5. Modification and Termination; Supported Devices

  1. Termination. PayPal or Merchant may modify or terminate the In-Person Payment Services as provided in the Agreement.
  2. Supported Devices. In addition to the rights set forth clause (a) above, PayPal may, upon providing notice to Merchant, modify the list of support Devices or discontinue support for any Devices.

6. US Use Only

Merchant will use (directly or indirectly) the In-Person Payment Services only within the United States or its territories where permitted unless otherwise agreed to in writing with PayPal.

7. Disclaimer

WITHOUT LIMITING ANY DISCLAIMER ON THE AGREEMENT, PAYPAL MAKES NO WARRANTY, EXPRESS OR IMPLIED, WITH REGARD TO ANY DEVICES OR ACCESSORIES OR ANY SERVICES PROVIDED BY MERCHANT PROCESSING PARTNERS AND DISCLAIMS ALL WARRANTIES WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO MERCHANT AS TO ANY MATTER WHATSOEVER, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.
